Comprehensive Terms & Conditions

Effective Date: October 17, 2026

1

1. Introduction, Scope & Acceptance

Welcome to Smart Computer Academy (hereinafter referred to as "SCA", "We", "Us", or "Our"). These Comprehensive Terms and Conditions ("Terms") form a legally binding agreement between you (the "User", "Student", "Franchise Partner", or "Visitor") and SCA regarding your access to and use of our website, mobile applications, Learning Management System (LMS), and related SaaS infrastructure.

By registering an account, enrolling in a course, submitting a franchise application, or merely browsing our platform, you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms, as well as our Privacy Policy.

If you do not agree to these Terms in their entirety, you are strictly prohibited from accessing our platform and must discontinue use immediately. We reserve the absolute right to amend, modify, or overhaul these Terms at any time without individual prior notice. Your continued engagement with our platform post-modification constitutes your explicit consent to the revised Terms.

2

2. User Accounts, Authentication & Security

Access to premium features, including student dashboards, digital assessments, course content, and franchise portals, requires the creation of a registered account. You warrant that all information provided during registration (including but not limited to name, contact details, educational background) is accurate, current, and complete.

You are solely responsible for maintaining the confidentiality of your account credentials (username, password, and OTPs). SCA employs stringent security protocols, but we will not be held liable for any data breach, unauthorized access, or loss arising from your negligence in safeguarding your credentials.

You agree to notify SCA immediately of any suspected unauthorized use of your account. We reserve the right to suspend or terminate accounts that we suspect are compromised, or are being used to violate our policies.

3

3. Acceptable Use Policy & Platform Integrity

Our platform is designed to foster a secure, high-quality educational environment. As a user, you agree NOT to:

Reverse-engineer, decompile, or attempt to extract the source code of our SaaS platform, APIs, or mobile applications.

Use automated scripts, spiders, scrapers, or bots to harvest data, course materials, or user information from our databases.

Upload or transmit any malicious code, viruses, trojans, or engage in Denial of Service (DoS) attacks that compromise the integrity of our infrastructure.

Share, resell, or distribute your account credentials to third parties. Each account is strictly for individual use.

Post or transmit defamatory, obscene, discriminatory, or unlawful content in our community forums, live chats, or any communication channel.

Violation of this Acceptable Use Policy will result in immediate permanent ban, forfeiture of fees, and potential civil or criminal litigation under applicable cyber laws.

4

4. Course Enrollment, Fees & Payment Terms

Admission to SCA courses is subject to seat availability, fulfillment of eligibility criteria, and successful realization of required fees. All financial transactions are processed through secure, RBI-compliant third-party payment gateways.

Fee structures, taxes, and installment schedules (if applicable) are explicitly communicated at the time of enrollment. In case of Installment Payment Plans (EMIs), failure to remit payment by the due date will attract a late fee penalty and may result in the automated suspension of LMS access until the dues are cleared.

Any chargebacks initiated fraudulently will be contested rigorously, and the associated user account will be permanently disabled. We reserve the right to revise our fee structure for future batches without prior notice.

5

5. Comprehensive Refund & Cancellation Policy

Given the digital nature of our study materials and the limited seating capacity in our offline centers, fees once paid (Registration Fees, Tuition Fees, or Franchise Application Fees) are strictly NON-REFUNDABLE under any circumstances, except where explicitly mandated by consumer protection laws.

If SCA cancels a specific batch or course completely prior to commencement, enrolled students will be offered a choice between a 100% refund of the tuition fee or a free transfer to an equivalent alternative batch.

If a student voluntarily withdraws from a course midway, no pro-rata refund will be issued, and any pending installments will still be legally payable as per the enrollment contract.

6

6. Academic Rigor, Assessments & Certification

SCA maintains high academic standards. Students are mandated to maintain a minimum attendance of 75% in both online and offline modules to be eligible for final examinations.

We employ strict proctoring mechanisms during digital assessments. Any instance of academic dishonesty, plagiarism, or impersonation during exams will result in immediate expulsion and invalidation of the student’s academic record.

Certificates, Diplomas, and Grade Cards are awarded strictly on merit, upon successful completion of the syllabus and clearance of all financial dues. SCA reserves the right to revoke any certificate retrospectively if it is discovered that the credential was obtained through fraudulent means.

7

7. Franchise Setup & Master License Agreements

Upon successful registration and payment of the franchise fee, Smart Computer Academy will provide you with an official Registration and Authorization Certificate.

Once you receive this authorization certificate, you are officially permitted to start and operate your franchise under the Smart Computer Academy brand in your designated geographic area (as outlined in your specific Franchise Agreement).

Franchise partners must adhere to strict branding guidelines and maintain the quality and reputation of the SCA brand. SCA reserves the right to terminate a franchise license if the operator fails to maintain quality standards or engages in fraudulent practices.

8

8. SaaS ERP Usage & Uptime Service Level Agreement (SLA)

For Franchise Partners utilizing our proprietary SaaS ERP: We strive to maintain a 99.9% uptime across all core services (Dashboards, Admissions, Fee Management).

However, we do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated 48 hours in advance. In the event of an unplanned outage, our engineering team will work to restore services as quickly as possible. SCA is not financially liable for any business interruption losses resulting from temporary ERP downtime.
10

10. Anti-Piracy & Content Protection

SCA employs dynamic digital watermarking and DRM (Digital Rights Management) technologies on video content and PDFs. If proprietary materials are found uploaded to third-party file-sharing sites or torrent networks, the embedded watermarks will trace the leak back to the offending user.

Any user found guilty of piracy will face immediate account termination without refund and will be subjected to civil lawsuits for damages.

11

11. Placement Assistance & Career Disclaimer

While SCA provides robust career support, interview preparation, and placement assistance through our corporate tie-ups, we explicitly DO NOT GUARANTEE employment, specific salary packages, or job placements.

Career outcomes are subject to individual merit, interview performance, prevailing macroeconomic conditions, and the hiring policies of third-party employers. SCA shall not be held liable for any recruitment decisions made by hiring partners.
12

12. Artificial Intelligence (AI) Features & Usage

Our platform incorporates AI-driven tools (e.g., automated code grading, personalized study paths, chatbot assistants). These tools are provided "as is".

While we strive for high accuracy, AI models can occasionally produce incorrect or biased outputs (hallucinations). You agree not to rely solely on AI-generated advice for critical academic or career decisions without independent verification.

13

13. User-Generated Content (UGC)

Students and Instructors may post reviews, forum discussions, or project portfolios ("User-Generated Content"). By posting UGC on our platform, you grant SCA a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, and distribute your content in connection with our promotional or operational activities.

You warrant that your UGC does not infringe on any third party’s intellectual property rights or violate any laws. SCA reserves the right to remove any UGC without notice at our sole discretion.

15

15. Modification of Services

SCA reserves the right to modify, suspend, or discontinue any part of the platform, including specific courses, features, or APIs, at any time without prior notice or liability. We continually update our curriculum to match industry standards, which may result in older course modules being deprecated.

16

16. Warranties Disclaimer & Limitation of Liability

The platform, including all content and software, is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

SCA does not warrant that the platform will be uninterrupted, error-free, completely secure, or free from viruses.

To the maximum extent permitted by applicable law, in no event shall SCA, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill) arising out of your use of or inability to use the platform. Our maximum aggregate liability to you for any claim shall not exceed the total fees paid by you to us in the preceding six (6) months.

17

17. Indemnification

You agree to defend, indemnify, and hold harmless Smart Computer Academy, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the platform; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

18

18. Force Majeure

SCA shall not be held responsible for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government restrictions, strikes, or catastrophic failure of internet or telecommunications infrastructure.
19

19. Governing Law, Jurisdiction & Dispute Resolution

These Terms and your use of the platform shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall first be attempted to be resolved through amicable mediation. If mediation fails, the dispute shall be subject to the exclusive jurisdiction of the competent courts situated in Bhagalpur, Bihar, India.
